MASTER SERVICES AGREEMENT (MSA)

THIS MASTER SERVICES AGREEMENT (the "Agreement") is entered into on [DATE] (the "Effective Date") by and between:

1. NATURE OF SERVICES
1.1. Data Processing & Analysis. The Partner engages VRN LABS to perform specialized information services, specifically: technical stress-testing, telemetry data collection, video fixation, and performance analysis of hardware in non-simulated kinetic environments (the "Services").
1.2. Informational Purpose. The Partner acknowledges that VRN LABS provides Information Technology and Data Analysis services only. VRN LABS does not act as a private military contractor (PMC), nor does it engage in combat operations for hire. All activities are strictly limited to the technical evaluation of the Partner’s assets.
2. TERMS OF ENGAGEMENT & LOGISTICS
2.1. Asset Transfer. The Partner agrees to deliver the hardware prototypes (the "Test Assets") to the designated logistics point specified by VRN LABS.
2.2. Expendable Status. The Partner acknowledges that all Test Assets are classified as "Expendable Material". The Partner grants VRN LABS full authority to subject the Test Assets to destructive testing conditions, including but not limited to: electronic warfare suppression, kinetic impact, and environmental extremes. VRN LABS is under no obligation to return the Test Assets.
3. FEES AND PAYMENT TERMS
3.1. Booking Fee Logic. The Service Fee is structured as a Time-Slot Reservation Fee for the use of VRN LABS' technical infrastructure and personnel.
3.2. 100% Prepayment. All Services require a 100% upfront payment via wire transfer to the Provider’s designated bank account. Work commences only upon the visible receipt of funds.
3.3. No Refund Policy. The Partner acknowledges that the Fee covers the reservation of operational capacity. THE FEE IS NON-REFUNDABLE AND IRREVOCABLE, regardless of the test results, the physical survival of the Test Assets, or logistics delays caused by third parties. Once the slot is booked, the resource is allocated.
3.4. Logistics Contribution ("Option B"). If applicable, the Partner may opt to cover logistical expenditures via a separate financial contribution or vehicle transfer. This is recognized as an operational expense reimbursement, not a purchase of goods.
4. INTELLECTUAL PROPERTY & DATA RIGHTS
4.1. Raw Data. VRN LABS assigns all rights, title, and interest in the specific deliverables (Video Logs, Telemetry Files, Operator Feedback) to the Partner upon completion.
4.2. Feedback Usage. The Partner may use the generated data for R&D and internal improvements. Public use of VRN LABS’ brand or endorsement requires separate written consent.
5. WARRANTIES & SANCTIONS COMPLIANCE
5.1. Provider Warranty. VRN LABS warrants that it acts in compliance with the laws of Ukraine.
5.2. Sanctions Warranty (OFAC/EU). Both Parties represent and warrant that they are not: (a) Listed on any Sanctions List maintained by the US Office of Foreign Assets Control (OFAC), the European Union, or the UK HM Treasury; (b) Owned or controlled by any person or entity on such lists. Any breach of this clause results in immediate termination of this Agreement with forfeiture of all fees.
6. LIMITATION OF LIABILITY
6.1. Force Majeure. The Partner acknowledges the Service is performed in a zone of active military conflict. VRN LABS is not liable for delays or inability to capture data caused by artillery fire, airstrikes, lack of electricity/internet, or injury to personnel (Force Majeure).
6.2. Liability Cap. In no event shall VRN LABS be liable for any indirect, special, or consequential damages (including loss of profit). The Provider’s total liability shall not exceed the total amount of Fees paid by the Partner under this Agreement.
7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the substantive laws of Ukraine. Any disputes shall be resolved by the courts of Ukraine.

MUTUAL NON-DISCLOSURE & OPSEC AGREEMENT

THIS AGREEMENT is entered into on [DATE] (the "Effective Date") by and between:
THE DISCLOSING PARTY (PROVIDER): VRN LABS / VRN CLOUD [Legal Entity Name], (hereinafter "VRN").
THE RECEIVING PARTY (PARTNER): [CLIENT COMPANY NAME], (hereinafter "The Partner").
(Collectively referred to as the "Parties").
1. PREAMBLE & CONTEXT
The Parties are engaging in a collaboration involving the evaluation of sensitive defense technology in a high-risk kinetic environment. Both Parties acknowledge that unauthorized disclosure of information could result in severe financial loss, intellectual property theft, or direct threat to human life.
2. DEFINITION OF CONFIDENTIAL INFORMATION
2.1. Partner's Confidential Information (IP Protection). Includes all technical specifications, blueprints, source code, firmware, radio frequency protocols, and mechanical designs of the hardware provided for testing. VRN acknowledges that the "Test Assets" contain proprietary trade secrets.
2.2. VRN's Confidential Information (OPSEC & PERSEC). Includes, but is not limited to:
- Geo-spatial Data: Exact GPS coordinates of testing grounds, logic hubs, and storage facilities.
- Personnel Identity (PERSEC): Names, callsigns, faces, tattoos, or voices of VRN operators and field testers.
- Methodology: Internal testing protocols ("The Autopsy Method"), software architecture of the VRN Cloud, and logistical routes.
3. OBLIGATIONS OF THE PARTIES
3.1. Protection of Partner's IP. VRN agrees to: (a) Use the Partner’s hardware solely for the purpose of data generation and stress-testing; (b) NOT to Reverse Engineer, disassemble, or attempt to replicate the Partner’s technology for commercial gain; (c) Restrict access to the hardware to authorized field personnel on a "Need-to-Know" basis.
3.2. Protection of VRN's Operational Security (OPSEC). The Partner agrees to: (a) Strictly prohibit Geo-tagging: Ensure that any metadata in shared files is scrubbed of location data before any external or internal sharing; (b) Anonymize Media: Any visual materials (photo/video) released publicly by the Partner for marketing purposes must be screened to ensure no recognizable landmarks or operator faces are visible. (c) Secure the Cloud Access: Keep the Login/API Keys to the VRN Data Room strictly confidential.
4. PERSEC (PERSONNEL SECURITY) CLAUSE
4.1. The "Blur Rule". The Partner acknowledges that the individuals testing the equipment are active-duty operators or high-value targets. The Partner agrees to blur faces, distinctive tattoos, and unit patches in any video or photo materials retrieved from the VRN Cloud before showing them to third parties (investors, public).
4.2. Zero Doxxing. Any attempt by the Partner to identify, contact privately, or "dox" VRN field operatives using OSINT methods constitutes a material breach of this Agreement.
5. DATA SOVEREIGNTY (CLOUD SPECIFIC)
5.1. Content Ownership. All data generated by the testing process (Logs, Videos) and stored on the VRN Cloud is the exclusive property of the Partner once the subscription fee is paid.
5.2. Server Security. VRN agrees to employ industry-standard encryption (AES-256) to protect the Partner’s data from unauthorized external access.
6. TERM AND TERMINATION
6.1. Duration. The obligations of confidentiality regarding Technical IP shall remain in effect for 5 (five) years from the Effective Date.
6.2. Indefinite Term for PERSEC. The obligations regarding the protection of Personnel Identities and Geo-coordinates shall survive the termination of this Agreement and remain in effect indefinitely (due to the permanent nature of the physical threat).
7. REMEDIES & PENALTIES
7.1. Injunctive Relief. The Parties acknowledge that a breach of this Agreement may cause irreparable harm for which monetary damages would be insufficient. The injured Party is entitled to seek immediate injunctive relief.
7.2. Kinetic Risk Liability. If a breach of OPSEC by the Partner (e.g., leaking coordinates) leads to a physical strike on VRN facilities, the Partner accepts liability for all resulting damages to infrastructure.

LIABILITY WAIVER, RELEASE & INDEMNIFICATION

THIS AGREEMENT is executed by [CLIENT COMPANY NAME] (the "Partner") in favor of VRN LABS / VRN CLOUD (the "Provider").
1. ACKNOWLEDGEMENT OF EXTREME RISK
1.1. Nature of Environment. The Partner explicitly acknowledges that the services provided by VRN Labs involve the deployment of hardware in an Active Combat Zone (Zero Line). The Partner understands that this environment is characterized by:
- Unpredictable kinetic strikes (artillery, missile fire).
- Aggressive Electronic Warfare (GPS denial, control link hijacking).
- Hostile capture or destruction of assets.
1.2. Assumption of Risk. The Partner voluntarily assumes ALL RISKS associated with the transport, storage, and testing of their hardware. The Partner agrees that the loss of equipment is an inherent probability, not a possibility.
2. "EXPENDABLE ASSET" POLICY (NO COMPENSATION)
2.1. Classification. All hardware delivered to VRN Labs is legally classified as "Consumable Munitions / Expendable Test Material" upon receipt.
2.2. Waiver of Claims for Loss. VRN Labs shall NOT be liable for: (a) Physical destruction of the hardware during testing (crash, explosion, burning); (b) Loss of hardware due to enemy action or seizure; (c) Damage caused by logistics/transportation in the combat zone.
2.3. No Insurance. VRN Labs does NOT provide insurance coverage for the Partner’s property. The Partner agrees not to seek reimbursement, compensation, or "replacement value" for any items destroyed during the engagement.
3. INDEMNIFICATION (COLLATERAL DAMAGE)
3.1. Manufacturer Liability. The Partner acknowledges that VRN Labs acts solely as the operator of the Partner’s technology. The Partner retains liability for the safety, design, and reliability of the hardware.
3.2. Hold Harmless Clause. The Partner agrees to indemnify, defend, and hold harmless VRN Labs, its operators, officers, and affiliates from any and all claims, damages, or lawsuits arising out of: (a) Malfunction: Injury or damage caused by a battery fire, software error, or mechanical failure of the Partner's hardware; (b) Collateral Damage: Damage to civilian property or third-party infrastructure resulting from the Partner’s hardware failing to respond to control commands (e.g., a "runaway drone" crashing into a civilian structure).
4. LIMITATION OF OPERATION
4.1. Right to Abort. VRN Labs reserves the right to abort any test immediately if the Operator deems the hardware "Unsafe" or "Unstable" (e.g., erratic flight behavior threatening friendly positions). Such abortion does not constitute a breach of contract and does not trigger a refund.

THIS DECLARATION is made by VRN LABS / VRN CLOUD (hereinafter the "Provider") to assure [CLIENT COMPANY NAME] (the "Partner") of full compliance with international anti-bribery laws.
1. COMPLIANCE STANDARDS
The Provider hereby represents and warrants that in connection with the Master Access Agreement (MAHA) and any related operations, it has not and will not violate: (a) The U.S. Foreign Corrupt Practices Act of 1977 (FCPA); (b) The UK Bribery Act 2010; (c) The Anti-Corruption Laws of Ukraine.
2. SEPARATION OF TRANSACTIONS (THE "DUAL STRUCTURE")
The Partner acknowledges and agrees that the cooperation involves two legally distinct and independent operational flows. The Provider certifies that these flows are segregated as follows:
2.1. FLOW A: COMMERCIAL SERVICES (SaaS).
- Recipient: Sole Proprietorship [FOP NAME] (The Provider).
- Purpose: Payment for Information Technology services, Cloud Hosting, Data Processing, and R&D overhead.
- Legal Basis: Master Access Agreement (MAHA).
- Status: Commercial Revenue.
2.2. FLOW B: LOGISTICAL & HUMANITARIAN AID ("OPTION B").
- Recipient: Charitable Fund / NGO [FUND NAME] (A separate legal entity).
- Purpose: Operational logistics, vehicle maintenance, fuel, and evacuation transport (e.g., Pickup Trucks) to ensure access to the "Zero Line".
- Legal Basis: Deed of Gift / Charitable Donation Agreement.
- Status: Non-Profit Material Aid.
2.3. No Commingling. The Provider warrants that funds received under Flow A are NOT mixed with Flow B.
3. USE OF FUNDS & ASSETS
3.1. Zero Bribery Warranty. The Provider warrants that NO portion of the fees (Flow A) or assets (Flow B) will be used, directly or indirectly, to: (a) Bribe, influence, or provide kickbacks to any Government Official, Military Procurement Officer, or Politician; (b) Secure an improper business advantage or win a government tender.
3.2. Destination of Assets. Any vehicles or logistical assets transferred by the Partner are utilized exclusively for:
- Transportation of testing equipment;
- Personnel mobility in high-risk zones;
- Medical evacuation (MedEvac).
4. TRANSPARENCY & AUDIT
4.1. "Know Your Partner" (KYP). The Provider confirms it is a private entity and is not owned or controlled by any government official prohibited by sanctions lists.
4.2. Right to Verification. Upon reasonable request, the Provider is prepared to furnish photographic evidence proving that the transferred logistical assets (Flow B) are in active service on the front line.

1.2. Scope of Service. The Service is strictly limited to: (a) Hosting and storage of digital assets; (b) Encryption of the data channel; (c) User Access Management. The Provider acts solely as a passive host.
2. CORE PRODUCT: THE "AUTOPSY" CLOUD
We do not sell "testing hours". We provide Information Supremacy. VRN Labs operates a closed, encrypted Private Cloud Infrastructure (SaaS) acting as a bridge between the Zero Line and your engineering HQ.
DATA ORIGINATION (SOURCE): Data stored on our servers is generated in the most hostile environments on Earth (Active EW Zones, Kinetic Environments, All-Weather).
SERVICE: INTELLIGENCE HOSTING: We grant you Secure Access Keys to a dedicated Data Room where field operators upload:
- Raw Flight Logs (.JSON / .DAT)
- 4K Visuals confirming target engagement
- Operator Voice Notes (Uncensored feedback)
3. SUBSCRIPTION TERMS & DURATION
2.1. Minimum Commitment Period. 3 (three) months mandatory.
2.2. Subscription Model. "Pre-Paid Subscription". Access credentials released only upon receipt of payment.
2.3. No Refund Policy. ALL FEES ARE NON-REFUNDABLE.
4. CONTENT & UPLOAD PROTOCOL
3.1. Third-Party Uploads. The Provider facilitates storage but does not exercise editorial control.
3.2. Data Sovereignty. The User retains full ownership of the data downloaded.
5. PAYMENT & FEES
4.1. Invoicing. Description: "Subscription for Secure Cloud Storage & Data Hosting Services".
4.2. Late Payment. Immediate suspension and data deletion after 7 days.

THIS PROTOCOL defines the ownership, transfer, and usage rights regarding the digital assets generated within the VRN Cloud infrastructure during the Subscription Term.
1. DEFINITIONS
1.1. "Deliverables" (The Data). Refers to all specific files created as a result of the Partner’s hardware activity in the operational zone, including but not limited to:
- High-resolution video footage of engagement/flight.
- Telemetry logs, flight controller dumps (.JSON, .TXT, .CSV).
- Audio recordings of operator feedback.
- Crash site analysis photos.
1.2. "Background IP" (VRN Methods). Refers to VRN Labs' proprietary testing methodologies, software code of the Cloud platform, logistical routes, and internal operational know-how.
2. ASSIGNMENT OF RIGHTS ("WORK FOR HIRE")
2.1. Client Ownership. VRN Labs hereby irrevocably assigns, transfers, and conveys to the Partner all right, title, and interest in and to the Deliverables. Upon upload to the Secure Data Room, the Deliverables are considered the exclusive intellectual property of the Partner.
2.2. No Vendor Lock-in. The Partner has the right to use, modify, distribute, or sell the Deliverables (e.g., using the video for their own marketing or investor reports) without any further permission or royalty payments to VRN Labs.
3. LIMITED USAGE LICENSE (MARKETING RIGHTS)
3.1. Default Confidentiality. By default, VRN Labs is strictly prohibited from publishing, sharing, or showcasing any Deliverables that identify the Partner or their specific hardware.
3.2. Portfolio Exception (The "Showcase" Clause). VRN Labs may request permission to use specific segments of the video footage (e.g., kinetic impact, successful maneuver, or explosion) for its public "Capability Portfolio" or "Showreel".
3.3. Conditions for Public Use. Such use is permitted ONLY if ALL the following conditions are met:
- Written Consent: The Partner provides explicit written approval (via Email or Signal) for the specific file.
- Sanitization (Anonymization): VRN Labs must professionally remove/blur all Partner logos, unique serial numbers, and distinctive design elements that could reveal the manufacturer's identity.
- De-contextualization: The footage must be presented as generic "Combat Footage" without reference to the specific model name or Partner’s company name.
4. BACKGROUND IP RETENTION
4.1. VRN Methods. The Partner acknowledges that the process by which the data was obtained (the "Autopsy Method") remains the IP of VRN Labs. The Partner obtains the result, not the methodology.
5. WARRANTIES
5.1. Originality. VRN Labs warrants that the Deliverables are original recordings captured by its personnel and do not infringe upon the rights of any third party.

1. INTENT OF DONATION

The Donee accepts the Donated Assets and undertakes to utilize them exclusively for: (a) Humanitarian Aid and Logistics Support; (b) Evacuation of civilians or personnel from danger zones; (c) Protection of critical infrastructure and monitoring operations. The Donee confirms that the assets will NOT be sold, rented, or used for commercial profit.
4. "AS IS" CONDITION
The Donated Assets are transferred on an "As Is" basis. The Donor makes no further warranties regarding the mechanical condition, durability, or fitness for a particular purpose of the Donated Assets after the transfer of title. The Donor shall not be liable for any maintenance or repairs required after the handover.
5. TRANSFER OF TITLE
Title (Ownership) and Risk of Loss pass from the Donor to the Donee at the moment of: [Option A - Physical Handoff]: Signing of the Transfer-Acceptance Act at the border. OR [Option B - Shipping]: Acceptance of the cargo by the carrier (Ex Works / FCA).

3. NO RE-EXPORT GUARANTEE
We explicitly undertake that the goods: (a) Will remain in Ukraine; (b) Will not be re-exported, re-transferred, or diverted to any other state or third party outside the borders of Ukraine without the prior written consent of the Exporter and the relevant Licensing Authorities of the Exporter’s country; (c) Will not be used for the development of Weapons of Mass Destruction (nuclear, biological, chemical) or delivery systems for such weapons.
4. SANCTIONS COMPLIANCE
We confirm that the End-User is not an entity sanctioned by the UN, EU, USA (OFAC), or UK.

To deliver your hardware to the Zero Line, we require logistical mobility (Pickup Trucks / Vans). There are two legal ways to provide this:
METHOD A: PHYSICAL VEHICLE TRANSFER. You buy and ship. The vehicle enters Ukraine under the "Declaration for Humanitarian Aid". No import duty.
METHOD B: TARGETED LOGISTICS DONATION (SWIFT). You transfer funds to the Charity Fund to purchase the vehicle locally or in the EU. This is a standard non-profit donation.
